Delaware Bill Clarifies Registered Agent Requirements

Effective July 17th, 2018 House Bill 404 (Chapter 334) clarifies Delaware business entity statutes to state that registered agents are obligated to comply with requirements, standards, guidelines, rules, regulations and procedures issued by the Secretary of State when involving filings for corporations, partnerships, and LLCs. Thus, the Secretary of State can adopt requirements regarding verification of customer entities.

Nebraska Eliminates Biennial Report Per Page Filing Fee for Nonprofits

Legislative Bill 749 eliminates the requirement for nonprofit corporations to pay an additional per page filing fee of $5.00 when filing their biennial report. The bill clarifies that fraternal societies pay the same filing fees as nonprofit corporations. This bill is effective as of July 16, 2018.

Louisiana Corporate Filing Regulations Update

Effective May 28th after being signed by the governor, Louisiana House Bill 621 (Act 560) updated corporate filing regulations, including a specification that applicants must use a name distinguishable upon the records of the Secretary of State unless meeting present law exemptions. Partnership annual report filing fees were also increased from $25 to $30.

Mississippi Secretary of State’s Office will No Longer Accept UCCs With Attachments

Beginning on Monday, June 11, 2018, the Mississippi Secretary of State's Office will no longer accept for filing any UCC documents with attachments. All collateral descriptions or any other information may be entered in the collateral box provided on the UCC forms in the online filing system.
