CA SOS Closes Early due to Excessive Heat Warnings

The California Secretary of State will be closing the Sacramento lobby at 3 p.m. starting Monday, August 17, until Wednesday, August 19, due to multiple Excessive Heat Warnings and the need to reduce energy demand during peak hours. Daily pick up will be between 2:00 - 2:30 p.m.

California Update – Assembly Bill 85 Exempts Payment of Minimum Annual Franchise Tax Payment

California Assembly Bill 85 was signed by the governor and, effective June 29, exempts a limited partnership (LP), limited liability company (LLC) and limited liability partnership (LLP) that files, registers or organizes to do business in California from paying the annual minimum franchise tax of $800 in its first taxable year for tax years beginning January 1, 2020 and before January 1, 2024.

On Monday, July 13, 2020 at 12:01 AM, the California Secretary of State’s office plans to shut down their current UCC Online System. Their new system will go live on July 15, 2020, around 10:00 AM.

Louisiana Secretary of State Recording Requirement Eliminated

Senate Bill 54 signed by the governor and effective June 5, 2020 eliminates the requirement for the Secretary of State to record notice of administrative revocation of articles of incorporation in the clerk of court of the parish in which the corporation's registered office is located.
